Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (either an individual or a legal entity, referred to as "you", "your", or "Customer") and Fari, Inc. ("Fari", "Company", "we", "us", or "our"), governing your access to and use of the Fari platform, including but not limited to Fari AI, Fari Lens, Fari Analytics, associated mobile and web applications, dashboard interfaces, application programming interfaces (APIs), and any related services, features, content, or applications offered by Fari (collectively, the "Services").

By clicking "I Accept", "Sign Up", or any similar button, by creating an account, by accessing or using any part of the Services, or by downloading or installing any Fari software, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and the terms "you" and "your" shall refer to such entity.

If you do not agree to these Terms in their entirety, you are not authorized to access or use the Services and must immediately cease all use. Your continued use of the Services following any modifications to these Terms constitutes your acceptance of such changes.

2. Services Description

2.1 Fari AI Application

Fari AI is an intelligent automation and orchestration platform designed specifically for hospitality operations. The platform provides a comprehensive suite of tools and capabilities including:

Workflow Automation: A no-code automation builder that enables hotel teams to design, deploy, and manage complex operational workflows across all departments including front office, housekeeping, finance, food and beverage, and engineering. The platform includes pre-built templates, drag-and-drop workflow design tools, conditional logic, and approval routing capabilities.

AI Agent Network: Intelligent software agents that execute workflows across your connected systems, continuously monitor operations, identify patterns and anomalies, trigger automated responses or escalations, and learn from historical data to optimize future performance. These agents operate under strict role-based access controls and maintain comprehensive audit logs.

System Integrations: Seamless connectivity with existing hotel technology systems including but not limited to Property Management Systems (e.g., Opera Cloud, Protel, Mews), Point of Sale systems (e.g., Micros, Infrasys), Enterprise Resource Planning platforms, loyalty management systems, revenue management systems, and other third-party hospitality software through secure API connections.

Analytics and Insights: Real-time operational dashboards, predictive analytics, performance metrics, trend analysis, and customizable reporting tools that provide actionable insights into hotel operations, efficiency metrics, and areas for optimization.

2.2 Fari Lens Application

Fari Lens is an AI-powered computer vision platform that automates labor-intensive visual inspection and inventory management tasks through advanced image recognition and machine learning technologies. The platform includes:

Mobile Capture Application: Native mobile applications for iOS and Android devices that enable staff to quickly capture images of hotel rooms, minibars, stockrooms, and other inventory spaces. The application includes guided capture workflows, quality validation, offline mode capabilities, and instant feedback on image quality.

Computer Vision Processing: Advanced AI models that analyze captured images to automatically identify items, count quantities, detect missing or misplaced items, recognize product types and brands, assess room conditions, and flag discrepancies or anomalies. The system continuously improves its accuracy through machine learning and can be trained on property-specific items and configurations.

Automated Workflows: Integration with hotel systems to automatically update inventory records, trigger billing for consumed minibar items, generate replenishment orders, create housekeeping task lists, flag maintenance issues, and provide real-time inventory visibility across all hotel locations.

Audit and Accountability: Comprehensive tracking of all inspections, timestamped image records, staff attribution, discrepancy documentation, and historical comparison capabilities that reduce shrinkage, improve accountability, and provide defensible records for audits and disputes.

2.3 Fari Analytics

Fari Analytics is the unified intelligence layer for the Fari platform, providing:

Unified Dashboard: A single view across all properties, brands, and systems with standardized metrics including occupancy, ADR, RevPAR, GOPPAR, revenue by department, labor costs, guest satisfaction, F&B performance, and channel mix—all normalized across your entire portfolio.

Auto-Extraction: Automatically reads and normalizes data from brand reports, PDFs, and Excel files. For franchised hotels where direct API access isn't available, Fari Analytics auto-reads Marriott OnQ reports, IHG and Accor monthly summaries, and normalizes portal exports via Fari AI.

Real-Time Alerts: AI-powered insights detect anomalies and opportunities across your portfolio, including housekeeping productivity drops, channel mix shifts, minibar revenue variances, guest satisfaction changes, and property underperformance compared to comp sets.

Predictive Analytics: Forecast occupancy, revenue, staffing needs, and operational trends. Compare properties across brands, regions, and segments. Generate professional owner reports, executive summaries, and performance decks automatically.

2.4 Service Modifications

Fari reserves the right to modify, update, enhance, or discontinue any aspect of the Services at any time, with or without notice. We may add new features, remove existing features, change functionality, or update our technology stack as we deem necessary to improve the Services, address security concerns, comply with legal requirements, or adapt to changing market conditions. Where practicable, we will provide advance notice of material changes that negatively impact functionality you are actively using. Continued use of the Services following any such changes constitutes your acceptance of the modified Services.

3. Account Terms

3.1 Account Registration

To access the Services, you must create an account by providing accurate, complete, and current information including your name, email address, business name, business address, contact telephone number, and payment information where applicable. You must be at least 18 years of age to create an account. If you are registering on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.

You agree to provide true, accurate, current, and complete information during the registration process and to promptly update such information to maintain its accuracy. Providing false information or impersonating another person or entity is strictly prohibited and may result in immediate termination of your account. Fari reserves the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, API keys, and any other authentication credentials. You must not share your login credentials with any third party or allow anyone else to access your account. You agree to implement reasonable security measures, including using strong passwords, enabling two-factor authentication where available, regularly updating passwords, and securing devices used to access the Services.

You are fully responsible for all activities that occur under your account, regardless of whether such activities were authorized by you. You agree to immediately notify Fari of any unauthorized access to or use of your account or any other breach of security. Fari will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may be held liable for losses incurred by Fari or other users due to unauthorized use of your account resulting from your failure to maintain adequate security.

3.3 Account Responsibilities

As an account holder, you are responsible for: (a) maintaining accurate business information and contact details; (b) ensuring that all users under your account comply with these Terms; (c) monitoring all activity conducted through your account; (d) implementing appropriate internal controls and access restrictions within your organization; (e) ensuring your use of the Services complies with all applicable laws and regulations; (f) obtaining all necessary consents and permissions for data you upload to or process through the Services; and (g) maintaining adequate internet connectivity and compatible hardware to access the Services.

3.4 Account Types and User Roles

Fari offers different account types and subscription tiers with varying features, user limits, and access levels. Your account type determines your access to specific features, support levels, data storage limits, and API usage quotas. Within your account, you may create multiple user profiles with different roles and permission levels (e.g., Administrator, Manager, Staff) to control access to sensitive data and functionality. You are responsible for properly configuring user roles and ensuring users only have access to data and functions appropriate to their job responsibilities.

4. User Conduct

4.1 Acceptable Use

You agree to use the Services solely for lawful business purposes in accordance with these Terms and all applicable local, state, national, and international laws and regulations. Acceptable use includes: operating and managing hotel or hospitality operations; automating legitimate business workflows; managing inventory and assets; analyzing operational data for business insights; training staff on proper use of the Services; integrating with other authorized business systems; and using the Services in a manner that does not interfere with other users' access or use.

You must implement appropriate security measures to protect data processed through the Services, promptly report any technical issues, bugs, or security vulnerabilities to Fari, maintain adequate backups of critical data, comply with all applicable data protection and privacy laws, obtain necessary permissions for data collection and processing, and ensure your staff receives adequate training on proper use of the Services.

4.2 Prohibited Activities

You expressly agree not to engage in any of the following prohibited activities:

Security Violations: Attempting to gain unauthorized access to any portion of the Services, other users' accounts, or any systems or networks connected to the Services; probing, scanning, or testing the vulnerability of the Services or any associated security measures; breaching, circumventing, or attempting to breach or circumvent any security or authentication measures; accessing data not intended for you; or attempting to interfere with service to any user, host, or network.

Misuse of Services: Using the Services for any illegal purpose or in violation of any laws; uploading, posting, or transmitting malicious code, viruses, worms, or other harmful software; using the Services to transmit spam, junk mail, chain letters, or unsolicited communications; impersonating any person or entity or falsely stating or misrepresenting your affiliation with any person or entity; collecting or harvesting information about other users without their consent; or using automated systems (bots, scripts, etc.) to access the Services in a manner that sends more requests than a human could reasonably produce in the same period.

Intellectual Property Violations: Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Services or any component thereof; removing, obscuring, or altering any copyright, trademark, or other proprietary rights notices; copying, modifying, or creating derivative works based on the Services; or using the Services to develop competing products or services.

Improper Data Practices: Using the Services to collect, store, or process biometric data, personal health information, or special categories of sensitive personal data without proper legal basis and security measures; capturing images or videos of individuals without proper notice and consent; using Fari Lens or other camera-enabled features for surveillance purposes beyond operational necessity; or processing personal data in violation of applicable privacy laws including GDPR, CCPA, or other data protection regulations.

Service Abuse: Reselling, sublicensing, or otherwise making the Services available to third parties without authorization; sharing account credentials with unauthorized users; exceeding usage limits or quotas specified in your subscription plan; using the Services in a manner that imposes an unreasonable burden on our infrastructure; or interfering with or disrupting the Services or servers or networks connected to the Services.

4.3 Enforcement

Fari reserves the right, but not the obligation, to investigate suspected violations of these Terms. We may, at our sole discretion and without liability to you, suspend or terminate your access to the Services, remove content, or take any other action we deem appropriate if we believe you have violated these Terms or engaged in conduct that is harmful to other users, to Fari, or to third parties. We may also report suspected illegal activity to appropriate law enforcement authorities and cooperate with any investigation or proceeding.

5. Data Usage and Privacy

5.1 Data Collection and Processing

In the course of providing the Services, Fari collects, processes, and stores various types of data including: (a) account information and business details you provide during registration; (b) operational data generated through your use of Fari AI, including workflow configurations, automation rules, system events, and performance metrics; (c) images and visual data captured through Fari Lens, including photographs of hotel rooms, inventory items, and operational spaces; (d) integration data synchronized from your connected systems such as PMS, POS, and other hotel technology platforms; (e) usage data including log files, device information, IP addresses, browser types, and access times; and (f) communications you have with our support team.

By using the Services, you grant Fari a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze this data solely for the purposes of: providing and improving the Services; training and enhancing our machine learning models and computer vision algorithms; developing new features and capabilities; ensuring system security and preventing fraud; complying with legal obligations; and providing customer support. This license survives termination of your account to the extent necessary for Fari to maintain archives, comply with legal obligations, and continue improving general service functionality.

5.2 Image Data and Computer Vision Training

When you use Fari Lens, images captured through the mobile application are uploaded to our secure servers where they are processed by our computer vision AI models. These images are used for the following purposes:

Immediate Processing: Images are analyzed in real-time or near-real-time to identify items, count inventory, detect discrepancies, and generate actionable data for your operations. Processing results are returned to you through the application and stored in association with your account.

Property-Specific Model Training: Images from your property may be used to create and refine custom computer vision models tailored to your specific inventory items, room layouts, and operational needs. These custom models improve recognition accuracy for your unique environment and remain associated with your account. Property-specific models and their training data are kept segregated from other customers' data.

General Model Improvement: Aggregated and anonymized image data may be used to train and improve Fari's general computer vision models that benefit all customers. This involves removing property-specific identifiers and combining data from multiple sources to create more robust recognition capabilities. For example, images of common minibar items from multiple hotels may be used to improve the system's ability to recognize those product categories across all properties. However, your specific inventory counts, pricing data, and property-identifying information remain private.

Privacy Protections for Images: While images are used for training purposes, Fari implements technical measures to protect privacy, including automatic detection and redaction of personal information, faces, and identifying details where feasible. You acknowledge that images captured in hotel rooms and operational spaces may incidentally capture personal items or information, and you are responsible for ensuring appropriate notice is provided to guests and staff regarding the use of image capture technology on your property.

5.3 Data Privacy and Confidentiality

Fari treats your business data as confidential and implements industry-standard security measures to protect it from unauthorized access, disclosure, alteration, or destruction. Your specific operational data, including inventory counts, financial records, guest information, room-level details, and property-specific configurations, is never shared with other hotels or third parties except as required by law or with your explicit consent.

Data is logically segregated by customer account using multi-tenant architecture with strong access controls. Each customer's data is isolated and can only be accessed by: (a) authorized users within your organization based on role-based permissions you configure; (b) Fari personnel who require access to provide technical support, maintain the Services, or comply with legal obligations, and who are bound by strict confidentiality obligations; and (c) our subprocessors and service providers who assist in delivering the Services and who are contractually obligated to maintain confidentiality and security standards consistent with this Agreement.

Our Privacy Policy, available at [insert URL], provides additional details about our data practices, your privacy rights, and how we comply with applicable data protection laws including the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other regional privacy regulations. The Privacy Policy is incorporated into these Terms by reference.

5.4 Data Ownership and Portability

You retain all ownership rights to the data you input into the Services, including business information, images you capture, and content you create. Fari claims no ownership over your business data. Upon termination of your account, you may request an export of your data in commonly used formats (such as CSV, JSON, or PDF) within 30 days of termination. After this 30-day period, we may delete your data in accordance with our data retention policies, except where retention is required by law or necessary to resolve disputes.

Note that while you own your specific data, the trained AI models, algorithms, aggregated insights, and system improvements derived from your data remain the intellectual property of Fari. The data export will include your raw business data and generated reports but will not include proprietary algorithms, model weights, or other Fari intellectual property.

5.5 Security Measures

Fari employs comprehensive security measures including: encryption of data in transit using TLS/SSL protocols; encryption of data at rest using industry-standard encryption algorithms; regular security audits and vulnerability assessments; role-based access controls and authentication mechanisms; intrusion detection and prevention systems; regular security patches and updates; secure data centers with physical security controls; employee security training and background checks; and incident response procedures.

However, no system is completely secure. You acknowledge that you provide data to the Services at your own risk and that Fari cannot guarantee absolute security. In the event of a data breach affecting your data, we will notify you in accordance with applicable laws and work diligently to remediate the situation.

5.6 Your Responsibilities for Data

You are responsible for: (a) ensuring you have the legal right to collect, use, and share all data you upload to or process through the Services; (b) obtaining necessary consents from individuals whose data or images you capture; (c) providing appropriate privacy notices to guests and employees regarding data collection and use; (d) complying with all applicable data protection and privacy laws in your jurisdiction; (e) implementing appropriate internal controls over who can access and use the Services; (f) promptly notifying Fari of any suspected data breaches or security incidents; and (g) not uploading data that is illegal, infringes third-party rights, or violates these Terms.

6. Intellectual Property

6.1 Fari's Intellectual Property

All intellectual property rights in and to the Services, including but not limited to software, source code, object code, algorithms, machine learning models, computer vision models, AI agents, user interfaces, designs, graphics, text, documentation, logos, trademarks, service marks, trade names, and all related materials, are and shall remain the exclusive property of Fari and its licensors. This includes all improvements, enhancements, modifications, derivative works, and updates to the Services, whether developed by Fari independently or based on feedback or suggestions from customers.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes in accordance with these Terms and your subscription plan. This license does not grant you any ownership rights or intellectual property rights in the Services. You may not use the "Fari" name, logos, or trademarks without prior written consent from Fari.

You acknowledge that the Services contain proprietary and confidential information protected by intellectual property laws, trade secret laws, and other applicable laws. You agree not to circumvent, disable, or interfere with security-related features of the Services or features that prevent or restrict use or copying of any content or that enforce limitations on use.

6.2 Your Intellectual Property

You retain all intellectual property rights in your business data, content you create using the Services, images you capture, workflow configurations, reports you generate, and other materials you develop. However, by using the Services, you grant Fari the licenses described in Section 5.1 necessary to provide and improve the Services.

You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to use and grant the rights in your data and content as contemplated by these Terms, and that your data and content does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other proprietary rights.

6.3 Feedback and Suggestions

If you provide Fari with any feedback, suggestions, ideas, enhancement requests, recommendations, or other input regarding the Services ("Feedback"), you grant Fari a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any form, medium, or technology, whether now known or later developed, without any obligation to compensate you or provide attribution. You waive any moral rights you may have in such Feedback.

6.4 Copyright Infringement Claims

Fari respects the intellectual property rights of others and expects users to do the same. If you believe that content available through the Services infringes your copyright, please notify our designated copyright agent with: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the material claimed to be infringing and information sufficient to locate it; (c) your contact information; (d) a statement that you have a good faith belief that use of the material is not authorized; (e) a statement that the information is accurate and that you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature.

7. Payment Terms

7.1 Subscription Fees and Pricing

Access to the Services requires payment of subscription fees based on the pricing plan you select. Fees are determined by factors including the specific Services you subscribe to (Fari AI, Fari Lens, or bundled packages), the number of users, properties, or locations in your account, the feature tier you select (e.g., Basic, Professional, Enterprise), and any additional modules, integrations, or support services you purchase.

Current pricing is available on our website or through our sales team. Custom Enterprise pricing may be negotiated separately for large organizations with specific requirements. All fees are stated in U.S. Dollars (USD) unless otherwise specified in your agreement. Subscription fees are based on subscriptions purchased and not on actual usage, meaning you pay the full subscription fee regardless of how much you use the Services during the billing period.

7.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis depending on your selected billing cycle. Your first payment is due upon signup or at the start of your subscription period. Subsequent payments are automatically charged on your renewal date using the payment method on file. We use third-party payment processors to handle credit card and other electronic payment transactions securely.

You authorize Fari to charge your designated payment method for all fees incurred. You must provide current, complete, and accurate billing information and promptly update such information in the event of changes. If a payment fails, we will attempt to collect payment using alternate methods or contact you to update payment information. Continued use of the Services after a failed payment attempt constitutes your authorization for us to continue charging the payment method on file.

For annual subscriptions, you may be offered a discount compared to monthly billing. Annual subscriptions are billed as a single payment for the full year. Some Enterprise customers may have alternative billing arrangements including invoicing, purchase orders, or net payment terms as specified in a separate agreement.

7.3 Late Payments and Suspension

If payment is not received when due, Fari reserves the right to: (a) suspend your access to the Services until payment is received; (b) charge late fees of 1.5% per month (or the maximum rate permitted by law, whichever is less) on overdue amounts; and (c) terminate your account if payment remains outstanding for more than 30 days. Suspension or termination for non-payment does not relieve you of your obligation to pay all fees owed through the end of the then-current subscription term.

You remain responsible for all charges incurred by your account, including charges resulting from unauthorized use. In the event we engage collection services or initiate legal action to collect overdue fees, you agree to pay all costs of collection including reasonable attorneys' fees and court costs.

7.4 Taxes

All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, duties, or similar governmental assessments ("Taxes"), including value-added, goods and services, sales, use, or withholding taxes. You are responsible for paying all Taxes associated with your purchases under these Terms, except for taxes based on Fari's net income. If Fari is required to collect or pay Taxes for which you are responsible, such amounts will be invoiced to and paid by you unless you provide Fari with a valid tax exemption certificate authorized by the appropriate taxing authority. Where required by law, Fari will provide appropriate tax documentation such as receipts or invoices.

7.5 Price Changes

Fari reserves the right to change subscription prices at any time. For existing customers, price increases will take effect at the start of your next subscription renewal period following at least 30 days' advance notice. Notice of price changes will be sent to the email address associated with your account. If you do not agree to a price increase, you may cancel your subscription before the new price takes effect, and the cancellation will be effective at the end of your current subscription term. Continued use of the Services after a price change becomes effective constitutes your agreement to pay the new price.

7.6 No Refunds

All subscription fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel your subscription, you will not receive a refund for any unused portion of the subscription term. You will continue to have access to the Services through the end of your current billing period. No refunds or credits will be provided for partial months of service, for downgrading your subscription plan, or for periods when your account was suspended or you chose not to use the Services.

Free trials, if offered, do not require payment. However, at the end of the trial period, your payment method will be automatically charged for the subscription plan you selected unless you cancel before the trial period ends. We may require payment information upfront to activate a free trial.

7.7 Disputed Charges

If you believe you have been incorrectly charged, please contact us within 30 days of the charge. We will investigate the matter and, if an error is confirmed, will credit your account or refund the incorrectly charged amount. Failure to notify us within 30 days waives your right to dispute the charge. You agree to attempt to resolve billing disputes directly with Fari before initiating a chargeback with your payment provider. Initiating an unjustified chargeback may result in suspension or termination of your account.

8. Service Level Agreement

8.1 Service Availability

Fari commits to maintaining a 99.9% uptime guarantee for the core Services on a monthly basis, measured as the percentage of time the Services are available during a calendar month ("Uptime Commitment"). Uptime is calculated as: (Total Minutes in Month - Downtime Minutes) / Total Minutes in Month × 100%.

The Uptime Commitment excludes downtime resulting from: (a) scheduled maintenance performed during designated maintenance windows with at least 48 hours advance notice; (b) emergency maintenance required to address critical security vulnerabilities or system failures; (c) factors outside our reasonable control including force majeure events, internet service provider failures, distributed denial of service attacks, or other network issues beyond our infrastructure; (d) issues caused by your use of the Services in violation of these Terms; (e) problems with your internet connectivity, devices, or third-party integrations; or (f) beta, preview, or experimental features explicitly identified as such.

If we fail to meet the Uptime Commitment in a given month, you may be eligible for a service credit equal to 5% of your monthly subscription fee for each full percentage point below the Uptime Commitment (e.g., if uptime is 98.5%, you would receive a 10% credit). Service credits are your sole remedy for availability failures and must be requested within 30 days of the month in which the failure occurred. Credits are applied to future invoices and cannot be redeemed for cash.

8.2 Maintenance Windows

Fari performs routine maintenance, updates, and system enhancements to ensure optimal performance and security. Scheduled maintenance is typically performed during low-usage periods (late night/early morning hours in major time zones) and we will provide at least 48 hours advance notice via email and in-app notifications. Scheduled maintenance windows are generally limited to 4 hours per month, though actual downtime is typically much shorter.

In the event of a critical security vulnerability or emergency requiring immediate attention, we may perform emergency maintenance without advance notice. We will notify customers as soon as practicable and work to restore full service as quickly as possible. Emergency maintenance that results in downtime exceeding 2 hours in a month will count toward the Uptime Commitment calculation.

8.3 Technical Support

Fari provides technical support through multiple channels including email support, in-app messaging, knowledge base documentation, and video tutorials. The level of support you receive depends on your subscription tier:

Standard Support (included with all paid subscriptions): Email and in-app support during business hours (Monday-Friday, 9:00 AM - 6:00 PM Eastern Time, excluding U.S. federal holidays). Target response time of 24 business hours for non-critical issues. Access to self-service knowledge base, documentation, and community forums.

Priority Support (available as an add-on or included with certain tiers): Extended support hours (Monday-Friday, 7:00 AM - 9:00 PM Eastern Time). Target response time of 4 business hours for critical issues, 12 hours for high-priority issues. Dedicated support representative familiar with your account.

Enterprise Support (available for Enterprise customers): 24/7 support availability for critical system-down issues. Target response time of 1 hour for critical issues, 4 hours for high-priority issues. Dedicated account manager and technical success manager. Quarterly business reviews and proactive optimization recommendations. Priority for feature requests.

Response times are targets, not guarantees. Actual response times may vary based on request volume, issue complexity, and time of day. Support is provided in English; additional language support may be available for Enterprise customers by arrangement.

8.4 System Updates and New Features

Fari regularly releases updates, improvements, bug fixes, and new features to the Services. Most updates are deployed automatically without requiring any action on your part. We will notify you of significant new features or changes that may affect your workflows through email notifications, in-app announcements, or release notes published in our knowledge base.

New features may be added to existing subscription tiers at no additional cost, or may be offered as optional upgrades or add-ons requiring additional fees. We reserve the right to determine which features are included in each subscription tier. Access to beta or preview features may be offered to select customers; such features are provided "as is" without warranties and may not reach general availability.

8.5 Training and Onboarding

All customers receive access to self-paced training materials including video tutorials, documentation guides, and best practice articles. Depending on your subscription tier, you may be eligible for live onboarding sessions, custom training webinars, on-site training (for Enterprise customers), and ongoing education programs. Additional training services beyond what is included in your tier may be available for purchase.

9. Term and Termination

9.1 Subscription Term

Your subscription begins on the date you first subscribe to the Services and continues for the initial term specified in your subscription plan (monthly or annual). Unless you cancel before the end of your current subscription period, your subscription will automatically renew for successive periods of the same duration at the then-current subscription rate. For example, if you subscribe to a monthly plan, it will automatically renew monthly; if you subscribe to an annual plan, it will automatically renew annually.

Enterprise customers or customers with special contractual arrangements may have different term commitments as specified in their separate written agreement. Minimum commitment periods, if applicable, will be clearly stated at the time of purchase.

9.2 Cancellation by Customer

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation must be submitted at least 24 hours before your next billing date to avoid being charged for the next billing period. If you cancel, your subscription will remain active through the end of your current billing period, and you will retain access to the Services until that date. After the current period ends, your access will be terminated and no further charges will be made.

Cancellation does not entitle you to any refund of fees already paid for the current subscription period. You remain responsible for any unpaid fees incurred prior to cancellation. If you are subject to a minimum commitment period, early cancellation may result in an early termination fee equal to the remaining balance of your commitment or as otherwise specified in your agreement.

9.3 Termination by Fari

Fari reserves the right to suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason including but not limited to: (a) violation of these Terms or any applicable laws; (b) failure to pay fees when due; (c) use of the Services in a manner that causes harm to Fari, our infrastructure, or other users; (d) providing false information during registration or in communications with us; (e) engaging in fraudulent activity or abuse of the Services; (f) breach of security; or (g) at our sole discretion if we cease operating the Services.

In the event of termination for cause, you will not be entitled to any refund of prepaid fees. If we terminate your account without cause (i.e., due to business reasons unrelated to your conduct), we will provide 30 days notice and will refund any prepaid fees for service periods after the termination date.

9.4 Effect of Termination

Upon termination or expiration of your subscription for any reason: (a) your right to access and use the Services will immediately cease; (b) you will no longer be able to access your account, data, or content stored in the Services; (c) we may, but are not obligated to, delete your data and content in accordance with our data retention policies; (d) all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

You acknowledge that Fari has no obligation to maintain or provide you with copies of any content or data after termination. It is your responsibility to export and backup any data you wish to retain before termination. We will provide reasonable assistance with data export if requested within 30 days of termination, subject to payment of applicable fees for such services.

9.5 Data Retention After Termination

Following termination, we will retain your data for a period of 30 days during which you may contact us to request data export. After this 30-day period, we may permanently delete your data unless retention is required by law, for legitimate business purposes (such as resolving disputes or enforcing our agreements), or with your explicit consent. Even after deletion from active systems, data may persist in backups for an additional period but will not be accessible or used.

10. Warranty and Disclaimer

10.1 Limited Warranty

Fari warrants that: (a) the Services will perform substantially in accordance with our published documentation under normal use during your subscription term; (b) we will provide the Services using commercially reasonable skill and care; and (c) we have the right to provide the Services and grant the licenses contemplated by these Terms. This limited warranty is subject to the Service Level Agreement in Section 8 and does not apply to issues caused by factors outside our reasonable control.

Your sole remedy for any breach of this limited warranty is, at our option: (i) to use commercially reasonable efforts to correct the non-conformity; or (ii) to terminate your subscription and refund a pro-rata portion of prepaid fees for the unused portion of your subscription term. To invoke this remedy, you must notify us in writing of the warranty breach within 30 days of discovering it.

10.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN SECTION 10.1, THE SERVICES AND ALL RELATED COMPONENTS AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND FARI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

FARI DOES NOT WARRANT THAT: (a) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (b) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (d) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (e) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

FARI SPECIFICALLY DISCLAIMS ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA, ANALYTICS, PREDICTIONS, OR RECOMMENDATIONS PROVIDED BY THE AI AND MACHINE LEARNING COMPONENTS OF THE SERVICES. AI-GENERATED RESULTS, INCLUDING IMAGE RECOGNITION OUTPUTS FROM FARI LENS AND AUTOMATION RECOMMENDATIONS FROM FARI AI, SHOULD BE REVIEWED AND VERIFIED BY QUALIFIED PERSONNEL BEFORE BEING RELIED UPON FOR BUSINESS DECISIONS.

YOU ACKNOWLEDGE THAT COMPUTER VISION AND AI TECHNOLOGIES ARE NOT PERFECT AND MAY PRODUCE INCORRECT RESULTS. YOU ARE RESPONSIBLE FOR IMPLEMENTING APPROPRIATE VERIFICATION PROCEDURES AND QUALITY CONTROLS IN YOUR OPERATIONAL WORKFLOWS. FARI IS NOT RESPONSIBLE FOR BUSINESS DECISIONS MADE BASED ON DATA OR RECOMMENDATIONS PROVIDED BY THE SERVICES.

10.3 Third-Party Services and Integrations

The Services may integrate with or provide access to third-party services, systems, or content. FARI DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY SERVICE, SYSTEM, OR CONTENT. Any use of third-party services is subject to their own terms and conditions. Fari is not responsible for the availability, accuracy, functionality, or security of third-party services, nor for any loss or damage resulting from your use of such services.

10.4 Internet and Technology Dependencies

The Services require internet connectivity, compatible devices, and supported browsers or mobile operating systems to function. FARI DOES NOT WARRANT THAT THE SERVICES WILL BE COMPATIBLE WITH ALL DEVICES, BROWSERS, OR OPERATING SYSTEMS, OR THAT YOUR INTERNET CONNECTION WILL BE ADEQUATE FOR USING THE SERVICES. You are responsible for ensuring you have appropriate technology infrastructure and connectivity to access and use the Services.

11. Limitation of Liability

11.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FARI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF FARI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO: (a) YOUR USE OR INABILITY TO USE THE SERVICES; (b) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (c) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICES; (d) ANY ERRORS, INACCURACIES, OR OMISSIONS IN THE SERVICES OR ANY DATA OR INFORMATION PROVIDED THROUGH THE SERVICES; (e) DELETION OF, CORRUPTION OF, OR FAILURE TO STORE ANY DATA OR CONTENT MAINTAINED OR TRANSMITTED THROUGH THE SERVICES; OR (f) ANY OTHER MATTER RELATING TO THE SERVICES.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FARI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO FARI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THIS LIMITATION OF LIABILITY SHALL APPLY REGARDLESS OF WHETHER: (a) DAMAGES ARISE FROM BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF WARRANTY, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY; (b) FARI HAS BEEN ADVISED OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH DAMAGES; OR (c) THE LIMITED REMEDIES PROVIDED IN THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE.

11.3 Exceptions to Limitations

The limitations of liability in this Section 11 do not apply to: (a) liability that cannot be excluded or limited by law; (b) death or personal injury caused by Fari's negligence; (c) damages caused by Fari's fraud or fraudulent misrepresentation; (d) your indemnification obligations under Section 12; or (e) your breach of the intellectual property provisions in Section 6.

11.4 Risk Allocation

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION 11 ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND FARI, AND THAT FARI WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED IN THESE TERMS.

11.5 Force Majeure

Fari shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes or labor disputes, telecommunications or internet failures, hardware or software failures of third-party service providers, or any other events that are unforeseeable and beyond our reasonable control.

12. Indemnification

12.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Fari, Inc., its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors (collectively, the "Fari Parties") from and against any and all third-party claims, actions, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

(a) Your use of the Services: Any use or misuse of the Services by you or your authorized users, including use in violation of these Terms, applicable laws, or third-party rights;

(b) Your content and data: Any content, data, or information you upload, submit, post, or transmit through the Services, including claims that such content infringes or misappropriates third-party intellectual property rights, violates privacy rights, or is defamatory, obscene, or otherwise unlawful;

(c) Violations of Terms: Your breach or alleged breach of any representation, warranty, covenant, or obligation in these Terms;

(d) Legal violations: Your violation of any applicable law, regulation, ordinance, or industry standard, including but not limited to data protection laws, privacy laws, labor laws, and consumer protection laws;

(e) Third-party rights: Any claims by third parties (including your employees, contractors, guests, or other individuals) arising from your use of the Services, including claims related to workplace surveillance, privacy violations, or discriminatory practices;

(f) Negligence or willful misconduct: Your negligence, willful misconduct, or fraudulent activities; or

(g) Unauthorized access: Any use of the Services by unauthorized individuals who gained access through your account, except where such access resulted directly from a breach of Fari's security systems.

12.2 Indemnification Procedures

Your indemnification obligations are conditioned upon Fari: (a) promptly notifying you in writing of any claim subject to indemnification (provided that failure to provide prompt notice will not relieve your obligations except to the extent you are materially prejudiced by such delay); (b) giving you sole control of the defense and settlement of the claim (provided that you may not settle any claim in a manner that admits fault on behalf of Fari or imposes obligations on Fari without our prior written consent); and (c) reasonably cooperating with you in the defense of the claim at your expense.

Fari reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you at our own expense, and in such case, you agree to cooperate with our defense of such claim.

12.3 Fari's Indemnification to You

Subject to the limitations in Section 11, Fari will defend you against any third-party claim that the Services, when used in accordance with these Terms, infringe or misappropriate any U.S. patent, copyright, or trademark, and will indemnify you for any damages finally awarded against you or settlements agreed to by Fari arising from such claim, provided that you: (a) promptly notify Fari in writing of the claim; (b) grant Fari sole control of the defense and settlement of the claim; and (c) reasonably cooperate with Fari in the defense of the claim.

If the Services become, or in Fari's opinion are likely to become, the subject of an infringement claim, Fari may at its option: (i) obtain the right for you to continue using the Services; (ii) replace or modify the Services to make them non-infringing while providing substantially similar functionality; or (iii) terminate your subscription and refund any prepaid fees for the unused portion of your subscription term. This Section 12.3 states Fari's entire liability and your exclusive remedy for infringement claims.

Fari will have no obligation under this Section 12.3 for claims arising from: (a) use of the Services in violation of these Terms; (b) modification of the Services by anyone other than Fari; (c) combination of the Services with non-Fari products, services, or data; (d) use of a non-current version of the Services where infringement could have been avoided by using a current version; or (e) your content or data.

13. Changes to Terms

13.1 Right to Modify

Fari reserves the right to modify, update, or replace these Terms at any time at our sole discretion. We may modify these Terms to reflect: (a) changes in applicable laws or regulations; (b) changes in our business practices or Services; (c) technical requirements; (d) new features or functionality; (e) security or privacy considerations; or (f) to clarify or improve the Terms.

13.2 Notice of Changes

When we make material changes to these Terms, we will notify you by: (a) posting the updated Terms on our website with a revised "Last Updated" date at the top; (b) sending an email notification to the email address associated with your account; and/or (c) displaying an in-app notification when you next access the Services. For non-material changes, such as clarifications or formatting updates, we may update the Terms without specific notification beyond updating the "Last Updated" date.

We will provide at least 30 days advance notice for material changes that negatively impact your rights or obligations, unless immediate changes are required for legal, security, or operational reasons. Notice will be deemed given on the date the email is sent or the in-app notification is displayed, whichever occurs first.

13.3 Acceptance of Changes

Your continued access to or use of the Services after the effective date of updated Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to cancel your subscription in accordance with Section 9.2 before the changes take effect. Cancellation before the effective date of the changes will be governed by the prior version of the Terms.

For Enterprise customers with separate written agreements, material changes to these Terms may require mutual written agreement as specified in your separate contract.

13.4 Version History

Previous versions of these Terms are available upon request. If you wish to review a prior version of the Terms, please contact our support team. We maintain an archive of prior versions for a reasonable period to enable customers to review the terms that were in effect at any given time.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

14.2 Jurisdiction and Venue

Subject to Section 14.3 regarding arbitration, you and Fari agree to submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, for the purpose of litigating any disputes arising out of or relating to these Terms or the Services. You waive any objection to venue in such courts and waive any claim that such courts are an inconvenient forum.

14.3 Dispute Resolution and Arbitration

Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact Fari and attempt to resolve the dispute informally by sending written notice to: Fari, Inc., Attn: Legal Department, [Address], or email: vincent@getfari.com. The notice must include your name, account information, a description of the dispute, and the relief sought. We will attempt to resolve the dispute informally within 60 days of receiving your notice.

Binding Arbitration: If the parties cannot resolve the dispute through informal negotiation within 60 days, either party may initiate binding arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, "AAA Rules"), as modified by these Terms.

The arbitration shall be conducted by a single neutral arbitrator selected in accordance with the AAA Rules. The arbitration shall take place in New Castle County, Delaware, or another mutually agreed location, or may be conducted remotely via video conference. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. The arbitrator shall have the authority to award any remedies available under applicable law, including injunctive relief, but shall not have authority to award punitive or exemplary damages except where permitted by statute.

Each party shall bear its own attorneys' fees and costs in arbitration unless the arbitrator determines otherwise based on applicable law. The prevailing party in any arbitration shall be entitled to recover its reasonable attorneys' fees and costs to the extent permitted by applicable law.

Class Action Waiver: YOU AND FARI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. Unless both you and Fari agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative, class, or collective proceeding. If this class action waiver is found to be unenforceable with respect to any particular claim or request for relief, then that claim or request for relief shall be severed and shall be brought in court rather than arbitration, while any remaining claims or requests for relief shall proceed in arbitration.

Exceptions to Arbitration: Either party may bring an individual action in small claims court for disputes within its jurisdiction, or seek equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Nothing in this arbitration provision prevents either party from seeking provisional remedies in court, including temporary restraining orders or preliminary injunctions, pending the outcome of arbitration.

14.4 Time Limitation on Claims

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. This time limitation applies to all claims, regardless of the legal theory upon which they are based.

14.5 Legal Notices

All legal notices to Fari must be sent to: Fari, Inc., Attn: Legal Department, [Address], or email: vincent@getfari.com. All legal notices to you will be sent to the email address associated with your account. Notices sent by email are deemed received on the date sent, provided no delivery failure notification is received. Notices sent by postal mail are deemed received three (3) business days after mailing.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms, policies, or guidelines incorporated by reference or agreed to in writing, constitute the entire agreement between you and Fari regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

If you have entered into a separate written agreement with Fari (such as an Enterprise Agreement or Master Services Agreement), the terms of that separate agreement shall prevail to the extent of any conflict with these Terms. Any terms on purchase orders, invoices, or other business forms you provide are expressly rejected and shall have no effect.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law by a court of competent jurisdiction, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

15.3 Waiver

No waiver by Fari of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Fari to enforce a provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Fari.

15.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without the prior written consent of Fari. Any attempted assignment, transfer, or delegation without such consent shall be null and void. Fari may assign these Terms in whole or in part without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

15.5 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and Fari and do not create any third-party beneficiary rights. No third party (including employees, contractors, or guests of your business) shall have any right to enforce any provision of these Terms.

15.6 Relationship of Parties

The relationship between you and Fari is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Neither party has the authority to bind the other or to incur any obligation on behalf of the other.

15.7 Export Compliance

The Services are subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and the trade and economic sanctions maintained by the U.S. Treasury Department's Office of Foreign Assets Control. You represent and warrant that you are not: (a) located in, organized under the laws of, or a resident of any country or region subject to U.S. embargoes or trade sanctions; or (b) identified on any U.S. government list of prohibited or restricted parties.

15.8 Government End Users

If you are a U.S. government end user, the Services are "Commercial Items" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation" as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §§227.7202-1 through 227.7202-4, as applicable, the Services are licensed to U.S. government end users with only those rights as granted to non-government customers under these Terms.

15.9 Interpretation

The section headings used in these Terms are for convenience only and shall not be given any legal import. 15.10 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation: ownership provisions, warranty disclaimers, indemnity obligations, limitations of liability, dispute resolution provisions, and this survival clause.

15.11 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English language version shall prevail in the event of any inconsistency or ambiguity.

By clicking any button indicating your acceptance (such as "I Agree," "Sign Up," or "Accept"), by creating an account, by accessing or using any part of the Services, or by downloading or installing any Fari software or mobile application, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety, including all policies incorporated by reference.

You further acknowledge that you have had sufficient opportunity to review these Terms, to consult with legal counsel if desired, and to ask questions about any provisions you do not understand. You represent and warrant that you have the legal capacity and authority to enter into these Terms, either on your own behalf or on behalf of the organization you represent.

If you do not agree to these Terms, you must not access or use the Services and must immediately cease all use. Your only recourse if you disagree with these Terms is to discontinue use of the Services.
